The short answer

What does DIFC company formation involve?

DIFC company formation is the process of establishing and licensing an entity inside the Dubai International Financial Centre. The correct route depends on the business activities, regulatory status, shareholders, legal structure, management, funding, registered address and any additional approvals the company requires.

A standard non-financial or retail Private Company can be incorporated through the DIFC Portal. A business that intends to carry on regulated Financial Services in or from DIFC needs a separate DFSA authorisation pathway as well as its corporate setup.

This distinction should be settled before the application is built. Incorporating a company does not by itself authorise it to perform regulated financial activities.

Choose the correct route

DIFC is not one standard licence for every business

The starting point is the nature of the proposed business. Different activities and legal structures can lead to substantially different registration, regulatory, capital, document and premises requirements.

ROUTE 01

Non-financial or retail Private Company

A Private Company can be used for permitted non-financial or retail activities in DIFC. The current DIFC handbook states that this route requires at least one shareholder, at least one director and issued share capital greater than zero.

ROUTE 02

Financial-services business

If the company will conduct Financial Services in or from DIFC, DFSA authorisation is required. The regulatory scope, people, capital, systems and documentation should therefore be mapped before treating the application as an ordinary company-formation exercise.

ROUTE 03

Specialist DIFC structures

Branches, Prescribed Companies, eligible SPVs, foundations, funds and other specialist structures follow different requirements. Eligibility for a Prescribed Company or specialist vehicle should never be assumed from the company name alone.

DIFC and DFSA are not interchangeable.

DIFC handles the corporate and operating framework for entities established in the Centre. The DFSA regulates Financial Services in or from DIFC and also has registration responsibilities for specified Designated Non-Financial Businesses or Professions.

Is DIFC the right location for your company?

DIFC should be selected because its business, legal or regulatory environment fits the company—not simply because the address is in central Dubai.

  • 01
    Financial and regulated businesses
DIFC is a natural jurisdiction to assess when the intended activity falls within the financial-services ecosystem and the appropriate DFSA pathway can be satisfied.
  • 02
    Permitted professional and non-financial activities
A non-financial DIFC company can make sense where the permitted activity, client base, workspace and wider commercial requirements align with the Centre.
  • 03
    Innovation and specialist structures
Eligible technology, innovation, holding, wealth or specialist structures can justify reviewing DIFC against more conventional Dubai setup routes.
  • 04
    Businesses comparing several Dubai options
If the company does not require the DIFC ecosystem or structure, compare its full cost and requirements with Dubai mainland and other free-zone routes before committing.
Formation process

How DIFC company formation works

For a non-financial or retail Private Company, the current DIFC process moves from the portal application through initial approval, address requirements, payment and constitutional documents to licence and incorporation documents. Regulated and specialist structures can require additional stages.

01

Confirm the business activity and regulatory route

Define what the company will actually do, who its customers will be and whether the proposed activities are financial, non-financial, retail, DNFBP-related or otherwise subject to additional approval.

02

Build the company structure

Confirm the entity type, shareholders, directors, authorised signatories, senior management, beneficial ownership, share classes and funding structure before completing the application.

03

Submit the DIFC registration application

The Private Company application is submitted through the DIFC Portal with the required company background, activities, stakeholders, ownership information and supporting documentation.

04

Complete initial approval and address requirements

After the preliminary review, the company completes the applicable registered-address or lease steps. The precise lease-registration requirement depends on the workspace arrangement.

05

Pay fees and execute the constitutional documents

Applicable incorporation, licence, data-protection, immigration or other charges are settled and the required Articles of Association and related documents are electronically executed where applicable.

06

Receive the licence and move into post-setup work

Once the applicable requirements have been completed, DIFC issues the licence and incorporation or registration documentation. The company can then move on to the relevant visa, banking, tax, employment and ongoing compliance requirements.

Timing depends on the route. DIFC's current Private Company handbook states that initial approval for the non-financial/retail application is typically received within 3–5 working days after review. This is not the total formation time and does not apply as a guaranteed timeline to regulated or complex structures.

Documents and information for a DIFC Private Company

Requirements change according to the shareholders, funding, ownership chain, activity and legal structure. The current DIFC Private Company application can require the following information and supporting records.

  • Passport and stakeholder identification information
  • CV or professional biography for relevant individual shareholders, directors and beneficial owners
  • Company activities, business model, target markets and client information
  • Ownership structure and Ultimate Beneficial Owner details
  • Proposed entity name and share-capital information
  • Funding and source-of-funds evidence for the relevant funders
  • Registered-address and workspace information
  • Corporate shareholder incorporation documents and ownership structure, where applicable
  • Board resolutions or powers of attorney where the structure requires them
  • Activity-specific government or regulatory approval where applicable
Published DIFC fees

How much does DIFC company formation cost?

DIFC is not a single fixed-price formation package. The final amount depends on the company category, licence, activity, premises, immigration requirements, data protection, regulatory approvals and professional support required.

Published fee item Non-retail Private Company Retail Private Company
Incorporation fee USD 8,000 USD 3,400
Licence fee on incorporation and annually USD 12,000 USD 5,100

Source context: these are examples from the DIFC Private Company Non-Financial and Retail Handbook approved 24 March 2026. They do not include every possible fee. Data-protection charges, establishment-card or immigration costs, premises, additional approvals, regulatory fees and professional service fees can be separate. Financial-services businesses should also budget for the applicable DFSA authorisation and ongoing regulatory requirements.

Compare before committing

DIFC or another Dubai company setup route?

DIFC should be compared on business fit, not just on the word “free zone”. A company that needs the DIFC ecosystem can have very different priorities from a founder looking for a straightforward commercial or professional licence elsewhere in Dubai.

Decision area DIFC Another Dubai free-zone or mainland route
Core reason to choose it A specialist DIFC business, financial, legal, innovation or wealth-related ecosystem fits the operating model. The business needs a different activity range, cost structure, facility type or mainland operating route.
Financial regulation Financial Services in or from DIFC require the relevant DFSA authorisation. Requirements depend on the chosen jurisdiction, activity and regulator.
Company costs Use current DIFC incorporation, licence, premises, regulatory and post-setup costs when budgeting. Costs vary substantially between mainland and individual free-zone authorities.
Workspace The registered-address and workspace route must satisfy the applicable DIFC requirements. Workspace rules depend on the mainland activity or selected free-zone package and facility.
Best decision rule Choose DIFC because the business genuinely benefits from its framework and ecosystem. Choose the alternative route if it supports the activity and operating model more efficiently.
After incorporation

Your DIFC licence is the beginning, not the final step

The work after incorporation depends on whether the company will employ people, sponsor residence visas, process personal data, open a bank account, register for tax or operate under additional regulatory obligations.

01 / PEOPLE

Visas and establishment requirements

Where residence or employment visas are needed, plan the relevant establishment, immigration, medical, Emirates ID and related administrative steps.

02 / BANKING

Corporate bank account preparation

Bank approval is independent of incorporation. Prepare the ownership, funding, expected transactions, business model and supporting KYC records required by the selected bank.

03 / TAX

Accounting and UAE tax

DIFC status does not automatically make every income stream subject to a 0% Corporate Tax rate. The actual position depends on UAE tax rules, activities and qualifying conditions.

04 / COMPLIANCE

Ongoing DIFC obligations

Plan licence renewal, company-record updates, accounts, data-protection obligations and, where staff are employed, the applicable DIFC workplace-savings requirements.

DIFC company formation FAQs

The exact answer for your company can change according to its activity, ownership, regulatory status and workspace.

What is DIFC company formation?

DIFC company formation is the process of establishing and licensing a legal entity within Dubai International Financial Centre. The route involves selecting the appropriate entity and activities, providing shareholder and management information, completing the DIFC registration process, meeting registered-address requirements and obtaining the applicable licence and incorporation documents.

Can a non-financial company set up in DIFC?

Yes, DIFC has routes for permitted non-financial and retail activities as well as financial businesses. The proposed activity still needs to fit the current DIFC activity framework, and some activities may require an additional government or regulatory approval.

Does every DIFC company need a DFSA licence?

No. DFSA authorisation is required where a firm intends to carry on regulated Financial Services in or from DIFC. Certain Designated Non-Financial Businesses or Professions can also have DFSA registration requirements. An ordinary permitted non-financial business should not be described as DFSA-authorised unless it actually holds the required authorisation.

How much does company formation in DIFC cost?

For the current non-financial/retail Private Company route, DIFC's handbook approved 24 March 2026 lists an incorporation fee of USD 8,000 and annual licence fee of USD 12,000 for a non-retail Private Company. For a retail Private Company, it lists USD 3,400 for incorporation and USD 5,100 for the licence. Other fees can apply for data protection, premises, immigration, regulatory approvals and related setup requirements.

How long does DIFC company formation take?

The total timeframe depends on the company type, activities, documentation, address, approvals and whether financial regulation is involved. DIFC's current handbook states that initial approval for its non-financial/retail Private Company application is typically received within 3–5 working days after review, but that is only one stage of the overall formation process.

What documents are normally required?

The application can require stakeholder identification, CVs or biographies, ownership and UBO information, business-model details, funding evidence, share-capital information and registered-address details. Corporate shareholders can require additional incorporation, ownership and board documents, while regulated or approval-dependent activities require further evidence.

Can a DIFC company be set up remotely?

Important parts of the DIFC application and document-signing process are digital. Whether the complete setup can be handled without attendance depends on the structure and the later requirements for premises, immigration, identity checks, regulatory approvals and banking.

Can First Elite Global help with a DIFC corporate bank account?

First Elite Global can support corporate banking preparation, including company and shareholder documentation and the wider application-readiness process. The bank independently assesses the application and decides whether an account can be opened and what additional evidence is required.
