What This Service Covers

A confirmation statement is the Companies House filing used to confirm that the information held about a UK company is current. It must be filed at least once every 12 months, even if there have been no changes.

First Elite Global helps you move from knowing a filing is due to having a company record that is ready to be confirmed. We can review the information you provide, identify items that should be updated before the statement, organise the relevant confirmation-statement information and coordinate the filing route agreed with you.

This distinction matters because a confirmation statement is not designed to correct every type of company information. Some changes need to be reported separately before the company confirms that its record is up to date.

  • Review the confirmation date and filing deadline.
  • Check the company information relevant to the statement.
  • Identify changes that should be filed separately first.
  • Check director identity-verification readiness.
  • Organise applicable CS01 or online filing information.
  • Separate the Companies House fee from the agreed service scope.

Start with the right information

What to Send Us

The exact information depends on your company and what changed during the review period. Starting with the following makes the initial review more efficient.

Core company information

  • Company name and company number.
  • Current confirmation date or filing deadline, if known.
  • Details of changes since the previous confirmation statement.
  • Current directors and secretary, where applicable.
  • Current people with significant control.
  • Registered-office and registered-email information.

Information that may also be needed

  • Current SIC code or proposed SIC-code changes.
  • Shareholder information.
  • Statement of capital where relevant.
  • Trading status of shares where relevant.
  • Director Companies House personal codes where required.
  • Authentication information where required by the agreed filing route.

The confirmation statement now also includes a lawful-activity requirement. The company must state that its intended future activities are lawful when making the confirmation.

Company-record readiness

What to Check Before Filing

Companies House distinguishes between information that should be updated before the confirmation statement and information that can be changed through the statement itself.

Identity Verification and Personal Codes

Identity verification is now part of the UK company-compliance process. Confirmation-statement preparation should therefore include an early check of whether the people connected with the company have completed the requirements that apply to their roles.

Company directors

Companies House states that all company directors must verify their identity before the confirmation statement can be accepted under the current regime.

  • Each current director receives a personal code after verification.
  • The director code is connected to the company through the relevant filing.
  • A director of several companies may need to connect the same verified identity to each company.

People with significant control

PSCs also have identity-verification duties, but the way their personal code is provided is not always the same as the director process.

  • PSCs have a specific period in which to provide their code.
  • A person who is both a director and PSC must deal with each role separately.
  • The applicable timing should be checked against the Companies House register and current guidance.

How the Confirmation Statement Process Works

01

Share the company details

Start with the company number, filing position and an outline of anything that has changed since the previous statement.

02

Review the company record

Relevant company information is checked so that incorrect or outdated details can be identified before the record is confirmed.

03

Resolve pre-filing requirements

Separate company changes and applicable identity-verification requirements should be dealt with before the statement is treated as filing-ready.

04

Prepare the confirmation statement

The required information is organised for the applicable CS01 or online confirmation-statement route.

05

Complete the agreed filing route

The filing is progressed according to the agreed scope. Companies House remains responsible for its filing systems, processing and acceptance.

Fees and deadlines

Current Companies House Filing Costs

Government charges should be kept separate from any First Elite Global service fee so that you can see what is payable to Companies House and what relates to the support scope you select.

Online filing £50

Current Companies House annual confirmation-statement fee for online filing.

Paper CS01 £110

Current Companies House fee when filing the confirmation statement by post.

Filing deadline 14 days

The statement can be filed up to 14 days after the relevant review period has ended.

The annual Companies House fee is due with the first confirmation statement in the applicable 12-month payment period. Further confirmation statements can be filed within the same payment period without another annual fee. Government fees can change, so the current amount should be rechecked at the time of filing.

Is Your Confirmation Statement Overdue?

Deal with it promptly. Check the company record, resolve information or identity-verification issues and use the appropriate filing route. Companies House warns that failure to file can lead to a financial penalty of up to £5,000 and the company may be struck off the register.

Separate annual obligations

Confirmation Statement vs Annual Accounts

These filings serve different purposes. Completing one does not remove the requirement to deal with the other where it applies.

Main focus Company details, ownership-related information, officers, SIC codes and share information. Financial statements and the financial position of the company.
Typical frequency At least once every 12 months. Normally an annual obligation subject to the company's accounting period and filing deadline.
Companies House filing Yes. Yes, where the company is required to file accounts.
Does one replace the other? No. No.

Common filing questions

Confirmation Statement FAQs

Practical answers to the questions that usually arise before a CS01 or online confirmation statement is prepared.

What is a confirmation statement?

A confirmation statement is the Companies House filing used to confirm that the information held about a UK company is current. It replaced the old annual return and must be filed at least once every 12 months.

Do I still need to file if nothing has changed?

Yes. Companies House requires a confirmation statement even when there have been no changes during the review period.

When is a confirmation statement due?

The company must review its information and file at least once every 12 months. The statement can be filed up to 14 days after the review period has ended.

How much does it cost to file a confirmation statement?

Current Companies House fees are £50 for an online confirmation statement and £110 for a paper CS01. These are government fees, not the First Elite Global service fee, and should be rechecked when the filing is made.

What information must be changed before filing?

Companies House says changes to directors and the company secretary, PSC information, the registered-office address and changes to the existing registered email address should be dealt with before the confirmation statement is filed.

Can I change SIC codes or shareholder information on the statement?

Yes. The confirmation-statement process can be used for relevant changes to SIC codes, the statement of capital, trading status of shares, certain PSC-exemption information and shareholder information.

Do directors need a Companies House personal code?

Under the current identity-verification regime, directors need to verify their identity and connect their verified identity to the company using their Companies House personal code through the applicable filing process.

What if someone is both a director and a PSC?

Companies House treats the director and PSC roles separately for identity verification. A person who holds both roles must provide their personal code in the way required for each role and within the applicable timing.

Can a confirmation statement be filed early?

Yes. A company does not have to wait until the current review period ends. Filing early creates a new confirmation statement date, and the next review period starts the following day.

What happens if the confirmation statement is overdue?

It should be dealt with promptly. Companies House warns that failure to file can lead to a financial penalty of up to £5,000 and the company may be struck off the register.

Is a confirmation statement the same as annual accounts?

No. The confirmation statement primarily confirms company-register information, while annual accounts deal with financial information. They are separate company obligations.
