Define the regulated activity before forming the company

Crypto and Blockchain Business Setup in Dubai

Crypto and blockchain business setup in Dubai begins by separating a technology-only model from a regulated virtual-asset activity. For Dubai mainland and most Dubai free zones outside DIFC, VARA can require a licence, approval, registration or no-objection confirmation before operations begin. First Elite Global can coordinate the commercial setup and application workflow, while VARA, the commercial licensor and other regulators control classification and approval.

Scope before incorporation

Three decisions shape the entire application

  1. 01Map the business model
Products, clients, assets, custody, transaction flow and revenue.
  2. 02Identify the authority
VARA, DFSA or another route based on location and activity.
  3. 03Build the operating case
Entity, people, capital, controls, technology and premises.
  • Dubai scopeVARA covers mainland and Dubai free zones except DIFC
  • Eight activitiesEach regulated activity must be applied for explicitly
  • No early tradingATI or in-principle status is not permission to operate
Regulatory perimeter

“Blockchain company” is not a licence category

Classification follows what the company will actually do: who controls assets or keys, who executes or arranges transactions, what is issued, how customers are served and where the activity is carried on.

Technology model

Software, infrastructure or DLT development

A business that supplies technology without carrying on a virtual-asset activity may follow a commercial technology route rather than a full VASP licence. The product functions and customer journey still need a perimeter review; a “non-custodial” or “software only” label is not conclusive.

Confirm the activity before incorporation
Client-facing VA service

Virtual Asset Service Provider

Advisory, broker-dealer, custody, exchange, lending and borrowing, management and investment, transfer and settlement, and Category 1 issuance sit within VARA's eight licensed activities.

Full VASP licensing route
Own-account activity

Virtual-asset proprietary trading

VARA currently requires a No Objection Certificate for VA proprietary trading. Its FAQ also states that proprietary trading above AED 1 billion in 30-day rolling volume must be registered. Licensed VASPs cannot conduct proprietary trading under their regulated-activity licence; a separate company is required.

NoC and possible registration
Token or asset issuance

Category 1 or Category 2 issuance

Category 1 issuance requires a VARA licence. Category 2 issuance requires prior VARA approval and can involve a Whitepaper, issuer disclosures, AML/CFT evidence and technical, information-security, privacy and cryptographic controls.

Do not launch from a trade licence alone

No virtual-asset activity is automatically exempt from supervision

VARA states that a VA service or activity may require a licence, registration or No Objection Certificate. The correct starting point is a written description of the product, asset flow, customers, counterparties, revenue and jurisdictions—not a preferred free-zone package.

VARA licensed activities

Match every service to the right activity rulebook

A company can apply for more than one activity under an overarching licence, but it must satisfy the requirements for each. Custody has additional segregation and independence requirements.

01Advice

Advisory Services

Assess whether recommendations, opinions, research or other client communications amount to regulated virtual-asset advice.

02Intermediation

Broker-Dealer Services

Map arranging, matching, dealing, distribution and other intermediary functions against the current activity rulebook.

03Asset control

Custody Services

Determine who controls keys or assets. VARA identifies custody as the activity requiring a distinct legal entity and standalone licence.

04Marketplace

Exchange Services

Review order matching, execution, market access, settlement and any derivatives or margin features within the proposed platform.

05Credit

Lending and Borrowing

Define the asset, collateral, counterparty, wallet and repayment flows instead of treating a crypto lending product as ordinary software.

06Discretion

Management and Investment

Identify portfolio discretion, client mandates, staking or investment-management functions and the customers that will be served.

07Movement

Transfer and Settlement

Map how virtual assets move between originators, beneficiaries, wallets, counterparties and settlement systems.

08Creation

Category 1 VA Issuance

Assess the token design, reserve or reference mechanism, Whitepaper, distribution model and continuing issuer responsibilities.

Multiple activities can change the entity design. Applying for several activities means meeting each applicable rulebook in full. Custody and proprietary trading can require structural separation, so group design should be tested before shareholder documents, premises or technology contracts are finalised.

Dubai jurisdiction map

Commercial incorporation and regulatory approval are separate layers

The entity's location determines the commercial licensor and regulator. A company certificate or trade licence does not replace the virtual-asset permission required for the actual service.

Dubai mainland

DET plus VARA

The Initial Disclosure Questionnaire and commercial application begin through Dubai Economy and Tourism, with VARA controlling the virtual-asset regulatory process.

Dubai free zone

Free-zone licensor plus VARA

A Dubai free zone outside DIFC can act as the commercial licensor. Confirm that the selected zone accepts the entity, activity, office and application model before committing.

DIFC

DFSA crypto-token regime

DIFC is excluded from VARA's jurisdiction. Financial services involving Crypto Tokens in or from DIFC follow the DFSA framework, updated in January 2026.

Outside Dubai

Different competent authority

An Abu Dhabi or other-emirate operating base can follow a different federal, local or financial-free-zone route. Do not reuse a Dubai VARA plan without reclassifying the case.

First Elite Global's role must be scoped in writing. Commercial formation coordination, document preparation and application support do not make First Elite Global the regulator, legal adviser, compliance officer or licence decision-maker. Specialist legal, regulatory, audit, cybersecurity or compliance work should be separately identified where required.

Two-stage VARA route

Build the company and the regulated operation in the correct sequence

VARA currently describes a two-stage new-firm process: Approval to Incorporate, followed by the full VASP Licence application. The working plan below adds the preparation and handover steps around that official sequence.

Map the proposed service

Document products, assets, clients, countries, custody, transaction flow, revenue, technology stack, outsourcing and group entities. Identify every possible regulated function.

Select the application route

Confirm mainland, an eligible Dubai free zone or DIFC. For a VARA route, submit the Initial Disclosure Questionnaire through DET or the relevant free-zone commercial licensor.

Support the ATI review

Provide the requested business plan, beneficial-owner and senior-management information, plus any additional evidence. VARA can decline an Approval to Incorporate.

Complete operational setup

After ATI, finalise the legal entity and build the required office, staffing, governance, capital, compliance, technology, security and third-party arrangements. VA activities still cannot begin.

Apply for the VASP Licence

Submit the detailed application and activity-specific evidence, respond to questions, meetings or interviews, and address any additional requirements communicated by VARA.

Verify the authorised scope

If licensed, read every activity, customer, product and operating condition before launch. Complete the commercial, tax, banking, workforce and compliance handover separately.

ATI and in-principle approval are not operating licences

VARA states that an ATI allows incorporation and operational setup, not virtual-asset activity. Its public register also states that an in-principle approval holder must not operate, conduct VA activities or serve clients until the full VASP Licence is obtained.

Application readiness

Prepare an evidence pack, not just incorporation documents

VARA describes its published documentation list as non-exhaustive. The actual pack depends on the applicant, group, licensed activities, products, clients, outsourcing and technology.

Corporate, owners and people

Who owns and governs the business?

  • Entity incorporation and proposed group structure
  • Ultimate beneficial owners and source-of-funds evidence
  • Fit-and-proper information for owners and key personnel
  • Senior management, job descriptions, CVs and passports
  • Governance framework, delegations and committee structure
  • Responsible Individuals and UAE-residency planning
  • Close links, associated entities and conflicts analysis
Business, finance and resilience

Can the model operate within the rules?

  • Regulatory business plan and activity-by-activity mapping
  • Financial projections and entity/group statements
  • Paid-up and available-capital evidence where applicable
  • Reserve, insurance, succession and wind-down planning
  • AML/CFT, sanctions, risk and client-onboarding controls
  • Technology architecture, cybersecurity and data controls
  • Outsourcing, custody, wallet and third-party agreements

Physical presence matters. VARA's FAQ states that VASPs need a physical presence in Dubai. It lists a private-office requirement for broker-dealer, custody, exchange, lending and borrowing, management and investment, transfer and settlement, and Category 1 issuance activities. The commercial licensor can also set workspace requirements based on staffing and activity.

Operational controls

Licensing readiness extends across the whole operating model

All VASP applicants must address VARA's compulsory rulebooks as well as the rulebook for every activity requested. Policies should reflect the real product and systems, not generic templates detached from operations.

Governance

Board, senior management and accountability

Define who makes regulated decisions, who monitors the business, how conflicts are handled and how the two Responsible Individuals meet VARA's fit-and-proper and residency expectations.

Financial crime

AML/CFT and sanctions risk

Build business and client risk assessments, customer due diligence, transaction monitoring, escalation, reporting, record-keeping and staff training around the actual asset and client flows.

Technology

Security, resilience and data

Document wallet and key architecture, access controls, change management, incident response, business continuity, cybersecurity, data privacy and outsourced technology dependencies.

Market conduct

Clients, disclosures and complaints

Align customer classification, agreements, disclosures, fees, complaints, conflicts and product communications with the authorised activity and market-conduct requirements.

Marketing

Promotions before and after licensing

VARA's marketing rules can apply to domestic and foreign entities, licensed or not. Websites, social media, events, educational content, influencers and campaigns need a controlled approval path.

Transfer controls

Counterparties and Travel Rule data

Where applicable, design processes for originator and beneficiary information, unhosted wallets, counterparty VASPs, screening, exceptions and evidence retention before live transaction flows begin.

Itemised setup cost

Price the licensed operating model, not a generic crypto package

VARA application and supervision fees, capital, premises, people, technology and specialist work vary by activity and risk profile. A reliable proposal follows the perimeter assessment.

Information needed for a scoped quote

  • Products, activities and target customer types
  • Assets, wallets, custody and transaction flows
  • Jurisdictions, group entities and existing licences
  • Owners, funding, senior team and hiring plan
  • Technology, vendors, outsourcing and premises
  • Target launch sequence and work already completed
Commercial setup

DET or free-zone incorporation, trade licence, registered office, premises and related authority charges.

VARA application

Activity-specific application, first-year supervision and any approval, registration or NoC items.

Capital and insurance

Paid-up, available or reserve requirements and insurance arrangements based on the regulated model.

People and premises

Responsible Individuals, management, compliance, risk, technology, operations and private-office needs.

Systems and controls

Technology, cybersecurity, monitoring, wallet, screening, reporting, audit and resilience work.

Professional support

Agreed formation coordination plus separately scoped legal, regulatory, compliance, tax or technical specialists.

Before approving any proposal

Ask for the exact entity, commercial licensor, requested VARA activities, authority charges, capital assumptions, office and staffing requirements, professional fees, third-party systems, exclusions and renewal costs. Current authority schedules and written engagement terms should control.

Launch and continuing obligations

A VASP Licence is one part of operating the company

Keep separate owners, deadlines and evidence for commercial licensing, regulatory supervision, banking, tax, people, technology and marketing.

Banking

Corporate account readiness

Prepare a coherent source-of-funds, ownership, licence, business-model, counterparty and transaction-flow pack. Account opening, payment access and service limits remain the bank's decisions.

Tax

Corporate Tax and VAT records

Assess registration, filing, transfer-pricing, accounting and VAT treatment from the actual entity and transactions. A Dubai or free-zone incorporation does not create a universal tax exemption.

People

Visas, employment and residency

Coordinate the establishment record, visa allocation, work permits, contracts and Emirates ID steps separately from the VARA application and regulated staffing requirements.

Renewal

Commercial and regulatory cycles

VARA states that the VASP Licence is annual. Commercial licences, premises, insurance, visas, vendor contracts and other approvals have their own renewal dates.

Public status

Register and licence conditions

Check the VARA public register and the issued licence before presenting the company as authorised. Operate only within the published activities and any customer, product or operational conditions.

Change control

New products, assets and markets

Test material product, token, ownership, technology, outsourcing, customer or geographic changes against approval, notification, licence-amendment and marketing requirements before launch.

Responsibility map

Put every deliverable and decision owner in writing

A regulated setup can involve the applicant, commercial licensor, VARA or DFSA, banks, auditors and specialist advisers. The engagement scope should show who owns each item.

Frequently asked questions

Dubai crypto and blockchain business setup FAQs

The answers are qualified because the activity, entity, customers, product, technology, transaction flow and jurisdiction determine the applicable route.

Does every crypto or blockchain company in Dubai need a VARA licence?

Not every company described as blockchain or Web3 necessarily needs a full VASP Licence, but every proposed function needs a regulatory-perimeter assessment. A technology provider carrying on no virtual-asset activity may follow a commercial technology route. A VA activity can require a VARA licence, registration, approval or No Objection Certificate.

Which virtual-asset activities require a VARA licence?

VARA lists eight licensed activities: advisory, broker-dealer, custody, exchange, lending and borrowing, management and investment, transfer and settlement, and Category 1 VA issuance. Each requested activity must be applied for explicitly, and a multi-activity applicant must meet every applicable rulebook.

Can I set up a crypto company in a Dubai free zone?

Potentially. A Dubai free zone outside DIFC can act as the commercial licensor for a VARA application, but the zone must accept the proposed entity, activity, premises and application model. Incorporation or a trade licence does not by itself permit regulated virtual-asset operations.

Is a DIFC crypto business regulated by VARA?

No. DIFC is excluded from VARA's Dubai jurisdiction. Financial services involving Crypto Tokens in or from DIFC fall under the DFSA framework. The regulatory route should be selected before incorporation because DET, Dubai free zones and DIFC are not interchangeable.

What is the VARA licensing process for a new firm?

VARA currently describes two stages. First, submit the Initial Disclosure Questionnaire through DET or the relevant Dubai free zone and seek Approval to Incorporate. After incorporation and operational setup, submit the detailed VASP Licence application, respond to VARA's review and satisfy any activity-specific conditions.

Can the company operate after Approval to Incorporate or in-principle approval?

No. VARA states that Approval to Incorporate allows the entity and operational setup to be completed but does not permit VA activities. Its public register also states that an in-principle approval holder cannot operate, conduct virtual-asset activities or serve clients before receiving the full VASP Licence.

What documents are required for a VARA application?

The published list is non-exhaustive. It includes incorporation and ownership records, UBO and source-of-funds evidence, fit-and-proper and key-person information, governance, a regulatory business plan, financial projections and statements, capital evidence, insurance, succession and wind-down planning, plus risk, compliance and technology material.

How much does crypto business setup in Dubai cost?

There is no reliable universal price. The total can include commercial incorporation, VARA application and supervision charges, capital, insurance, office space, regulated staff, legal and compliance work, technology, cybersecurity, monitoring, audit and professional coordination. Request an itemised proposal after the activity and entity route are defined.

How long does VARA licensing take?

There is no dependable universal timeline. Timing depends on the activities, ownership and group structure, management, capital, premises, documentation quality, technology, compliance readiness, meetings, follow-up questions and any conditions. A stage-by-stage estimate should follow the perimeter review and initial authority feedback.

Can First Elite Global guarantee a VARA licence or corporate bank account?

No. First Elite Global can coordinate an agreed commercial setup, document tracker and application workflow. VARA or the relevant regulator controls classification, requests, conditions and licensing decisions. Each bank independently controls onboarding, due diligence, service scope and account approval.

Can I issue a token or trade the company's own crypto without a VASP licence?

Do not assume so. Category 1 issuance requires a VARA licence, while Category 2 issuance requires prior approval. VARA currently requires a No Objection Certificate for proprietary trading and registration above its stated volume threshold. The entity and transaction model should be classified before funds are committed or tokens are marketed.
