The short answer

Can an Indian entrepreneur start a business in Dubai?

Yes. Indian nationals can establish companies through suitable Dubai mainland and free-zone routes, subject to the selected activity, legal form and licensing authority. The UAE incorporation is only one half of the plan: a founder who remains resident in India, or an Indian company investing in the UAE entity, must also assess India's overseas-investment, remittance, reporting and tax rules.

The right setup depends on what the company will sell, where its customers will be, whether it needs premises or visas, who will hold the shares, how it will be funded and where its key management decisions will actually be made.

Mainland or free zone?

Choose around the operating model-not the lowest headline fee

Both routes can work for Indian founders. Compare activity permissions, customers, facilities, visas, market access, total first-year cost and renewal obligations before selecting an authority.

Dubai mainland

For direct onshore operations and premises-led activity

A mainland route may suit a business that expects direct local operations, client-site work, a shop or office, government or large-company contracting, or an activity licensed through Dubai's mainland authority.

  • Confirm the precise activity and legal form
  • Check premises and external-approval conditions
  • Plan staff, visas and post-licensing records
  • Verify ownership rules for the exact activity

Dubai free zone

For authority-specific, international or lean models

A free-zone route may suit international services, digital businesses, specialist sectors or logistics models when the zone's permitted activities, facility options, visas and mainland-access rules fit the business.

  • Compare activities rather than zone names alone
  • Check desk, office, substance and visa conditions
  • Confirm how mainland customers will be served
  • Treat tax benefits as conditional, not automatic

Ownership needs context. Full foreign ownership is available for many mainland activities and free-zone structures, but regulated sectors, strategic-impact activities and certain legal forms can carry different conditions. Confirm the activity before choosing the structure.
India-to-UAE planning

Four checks Indian founders should complete before funding the company

A Dubai licence does not replace Indian compliance. The correct route depends on whether the investor is an Indian-resident individual, an Indian entity or a person already resident outside India under FEMA.

01

Overseas investment route

Confirm whether the share acquisition is overseas direct investment, which investor is making it and whether the proposed foreign entity and ownership structure meet the applicable FEMA Overseas Investment framework.

02

Remittance and reporting

Plan the funding through an authorised dealer bank and identify the required remittance, valuation and reporting records. Resident individuals must also consider the applicable Liberalised Remittance Scheme limit and conditions.

03

Indian tax residency and management

Incorporating in Dubai does not by itself determine Indian tax treatment. Review the founder's residence, the company's place of effective management, cross-border payments, transfer pricing and any Indian permanent-establishment exposure.

04

Treaty and substance

The India-UAE tax treaty can address eligible double-taxation issues, but treaty access and relief depend on the facts. Maintain real governance, commercial records and evidence supporting where the company is managed and operated.

From plan to operation

A practical Dubai business setup process for Indian entrepreneurs

The sequence varies by activity and authority. Run the UAE formation work and the India-side investment checks as coordinated workstreams.

Define the business model

Set out the activities, customers, countries, revenue flows, shareholders, premises, staffing and visas.

Confirm the Indian investor route

Identify who will subscribe for shares, how funds will leave India and which FEMA, bank and tax checks apply.

Compare Dubai authorities

Assess mainland and relevant free zones against the complete operating brief and future plans.

Design the company

Select the proposed legal form, ownership, manager, activities, name direction and facility route.

Prepare and file

Assemble identity and corporate records, address any approvals or attestations and complete authority submissions.

Complete licensing

Respond to authority requests, finalise the required premises step and obtain the issued company records.

Activate the company

Coordinate agreed establishment, immigration, visa, Emirates ID, PRO, tax-registration and banking-preparation steps.

Maintain both-side compliance

Track UAE renewals and filings alongside applicable Indian reporting, tax and overseas-investment obligations.

Review before expanding

Reassess the licence, facilities, staffing and cross-border structure before adding activities, investors or subsidiaries.

Build a complete document pack

What to prepare for the first assessment

The exact list depends on the authority, activity, shareholder type and funding route. Corporate shareholders, branches and regulated activities usually require additional records.

Business brief

A plain-language description of every proposed activity, customer type, country, supplier flow and expected transaction.

Founder details

Passport and contact details for shareholders and managers, plus address and UAE immigration records where applicable.

Ownership plan

Shareholder names, ownership percentages, manager, proposed trade names and any corporate ownership chain.

India-side funding file

Investor status, proposed subscription amount, source of funds and the information requested by the authorised dealer bank or adviser.

Premises and visa plan

Desk, office, shop, warehouse or specialist facility needs, with founder, dependant and employee visa numbers.

Corporate records

For an Indian-company shareholder: incorporation, constitutional, board, ownership and authorised-signatory records, with legalisation or attestation where required.

Cost, timing and tax

Plan the complete operating cost-not just the licence

There is no dependable universal price or completion time for every Indian founder. Ask for an itemised scope based on the actual activity, authority, structure, facility and visa plan.

What affects cost?

Authority and activities; legal form and shareholders; workspace; external approvals; establishment and immigration records; visas; translation, attestation and professional work; plus renewals.

What affects timing?

Document readiness, name availability, authority review, regulated-activity approval, corporate-document legalisation and premises. Licensing, visas and banking run on separate timelines.

What about UAE tax?

Do not assume a tax-free company. UAE corporate tax, VAT registration and filing requirements depend on the company's facts. A free-zone licence does not automatically produce a 0% corporate-tax result.

Current UAE headline rates: the official UAE portal states that corporate tax is 0% on taxable income up to AED 375,000 and 9% above that threshold, subject to the law and applicable conditions. The Federal Tax Authority states that mandatory VAT registration generally applies when taxable supplies exceed AED 375,000. Obtain advice for the actual company.
Avoid expensive assumptions

Common mistakes when moving a business plan from India to Dubai

Choosing the cheapest package first

A low licence fee can be poor value if the activity, facility, visa allocation or customer-access rules do not fit.

Funding before checking FEMA

Confirm the investor, overseas-investment classification, remittance route and reporting before sending subscription funds.

Treating incorporation as tax migration

A Dubai company does not automatically change the founder's Indian tax residence or the company's management and tax position.

Assuming free zone means 0% tax

Qualifying Free Zone Person status and Qualifying Income have conditions; registration and filing duties can still apply.

Expecting automatic banking

Banks make independent decisions after reviewing owners, activity, source of funds, customers and expected transactions.

Ignoring post-licensing work

Establishment records, visas, Emirates ID, tax, bookkeeping, renewals and ongoing India-side obligations need a plan.

Frequently asked questions

Questions Indian founders ask about Dubai company setup

These answers support initial planning. The licensing authority, investor status and actual business model determine the final requirements.

Can an Indian citizen own 100% of a Dubai company?

Full foreign ownership is available for many Dubai mainland activities and free-zone structures. It is not universal: regulated sectors, strategic-impact activities and certain legal forms can carry different ownership or approval conditions. Confirm the exact activity and authority before selecting the structure.

Can I set up the company from India?

Parts of the formation process may be completed remotely, depending on the authority and structure. Physical presence can still be required for biometrics, immigration, banking, notarisation, signing or case-specific checks. Confirm the route before assuming the entire process is remote.

Should an Indian entrepreneur choose mainland or a free zone?

Choose according to how the business will operate. Mainland may suit direct onshore operations and premises-led activity. A free zone may suit an international, digital or authority-specific model. Compare activities, customers, facilities, visas, approvals, market access, first-year cost and renewals together.

Do I need RBI approval to invest in a Dubai company?

Many permitted overseas investments can proceed under the applicable FEMA Overseas Investment framework without case-by-case RBI approval, but the route, limits, structure, remittance and reporting must meet the rules. The answer differs for resident individuals, Indian entities and persons resident outside India under FEMA. Confirm the transaction with an authorised dealer bank and qualified adviser before remitting funds.

Does a Dubai company make my income tax-free in India?

No. UAE incorporation does not by itself determine the founder's Indian tax residence or the company's Indian tax exposure. Review individual residence, place of effective management, business presence, cross-border payments and treaty eligibility for the actual tax year.

Does a Dubai free-zone company automatically pay 0% corporate tax?

No. The UAE corporate-tax treatment of a free-zone business depends on whether it meets the relevant conditions, including the rules for a Qualifying Free Zone Person and Qualifying Income. Registration, returns and other compliance duties may still apply.

How much does Dubai business setup cost for an Indian entrepreneur?

There is no single price. Cost depends on the authority, activities, legal form, shareholders, workspace, approvals, establishment records, visas, document work and professional support. India-side banking, legal and tax work can add separate costs. Request an itemised first-year and renewal scope.

How long does company formation take?

Timing depends on the authority, activity, name availability, document readiness, legal form, premises and external approvals. Licensing, immigration, visas and banking are separate processes, so becoming fully operational can take longer than receiving the licence.

Is a UAE residence visa included with the company?

Not automatically. A licence, establishment and immigration records, visa eligibility, medical and Emirates ID steps are connected but separate. Visa allocation and approval depend on the authority, facility, company and applicant circumstances.

Will a corporate bank account be guaranteed after licensing?

No. UAE banks conduct their own due diligence on shareholders, activity, source of funds, customers, countries and expected transactions. First Elite Global can support preparation for an application, but the bank controls its review and decision.
