UK company formation for overseas founders

UK Company Formation for Non-Residents

A UK resident director is not required to form a private limited company. You will, however, need an appropriate UK registered office, complete the applicable identity checks and provide accurate ownership and business information.

First Elite Global can help you organise the formation details, coordinate the agreed Companies House filing route and separate optional address, tax, banking-readiness and ongoing compliance support.

The direct answer

Can a non-UK resident form a UK company?

Yes. A non-UK resident may act as a director and own shares in a UK private limited company, provided the legal eligibility, identity, address and disclosure requirements are met.

The company must have an appropriate registered office in England and Wales, Wales, Scotland or Northern Ireland. That address determines the company’s registered jurisdiction and cannot later be moved to a different UK jurisdiction.

What non-resident status changes—and what it does not

The incorporation route remains a Companies House process. The practical differences usually arise around identity, addresses, tax position, banking evidence and how the company will operate after registration.

What remains possible

  • You can be a director without living in the UK.
  • You can own shares as an overseas individual or, where suitable, through another entity.
  • Much of the preparation can be coordinated remotely.
  • An eligible third-party address service may be used with permission.

What still requires attention

  • The registered office must satisfy UK legal requirements.
  • Directors and PSCs must complete applicable identity verification.
  • Personal and company information is placed on the public register as required.
  • Tax, banking, licensing and immigration are separate assessments.
Prepare before filing

Information and documents you may need

The final checklist depends on the company type, ownership structure and filing route. Prepare complete and consistent information for every director, shareholder or guarantor and person with significant control.

Company information

Proposed name, UK jurisdiction, business activities, SIC code, registered email and registered-office plan.

People and ownership

Director, shareholder or guarantor details, service and residential addresses, PSC information and nature of control.

Identity verification

Accepted identity evidence and Companies House personal codes where the current filing requirements call for them.

Capital and constitution

Share numbers, values, classes and rights—or guarantee information—plus the appropriate memorandum and articles.

How non-resident company formation works

The process separates your decisions, legal identity steps, the filing itself and optional post-formation work.

Business founders discussing documents in a London office

Explain the business and ownership plan

Share the intended activity, directors, owners, countries of residence, preferred company name and any UK address or launch support you need.

Confirm the company structure

Choose the company type, registered jurisdiction, share or guarantee structure, PSC position, SIC code and constitutional-document route.

Agree the written scope

Review formation support, optional services, client responsibilities, professional fees, third-party charges and recurring commitments.

Provide information and complete verification

Supply the requested evidence and complete the current Companies House identity-verification steps for directors and PSCs.

Review and file

The agreed information is checked and submitted through the selected route. Companies House controls acceptance and may request corrections.

Receive the handover and activate selected services

After incorporation, receive the company records and move into any address, tax, banking-readiness or ongoing support expressly included in the proposal.

Choose by scope

The right level of support depends on what happens after formation

Rather than relying on unclear package labels, choose the route that matches the work you actually need. Your proposal should list every inclusion and exclusion.

Avoid false assumptions

Four decisions remain separate from incorporation

A certificate of incorporation confirms that the company legally exists. It does not resolve every operational question for an overseas founder.

UK business banking

Each bank or payment provider applies its own residency, identity, business-model, ownership and risk checks. Company formation does not guarantee account approval.

Company and personal tax

The company’s obligations and your personal tax position depend on the actual activities, management, residence and applicable rules. Specialist advice may be needed.

Immigration and right to work

Directorship or share ownership does not provide a UK visa, residence status or permission to work. Immigration routes must be assessed separately.

Licences and sector permissions

Some activities require licences, registrations, insurance or professional permissions beyond Companies House incorporation.

Common questions

UK company formation for non-residents FAQs

Answers to the most important questions about eligibility, addresses, verification, tax, banking and ongoing responsibilities.

Can I form a UK company if I do not live in the UK?

Yes. GOV.UK states that a company director does not have to live in the UK. The company must still have an appropriate registered-office address in the UK jurisdiction where it is incorporated, and all required identity and company information must be provided.

Does a UK company need a resident director?

No. A director must generally be at least 16 and meet the applicable eligibility, identity and disclosure requirements, but UK residence is not required.

Do I need a UK registered-office address?

Yes. It must be an appropriate physical address in the same part of the UK where the company is registered. The address appears on the public register. If an address provider is used, you must have permission and the service must meet Companies House requirements.

Who must verify their identity for Companies House?

Directors and people with significant control must comply with the current Companies House identity-verification rules. New directors provide their personal code during incorporation or appointment, while PSCs must verify and connect their identity within the applicable period.

Can the whole formation process be completed remotely?

Much of the preparation and filing can usually be coordinated remotely, but the identity-verification route and any later bank, licence or provider checks may require additional steps. The required route should be confirmed before submission.

Does a UK company give me a visa or the right to work?

No. Incorporation, directorship and share ownership do not by themselves grant immigration permission, UK residence or a right to work. Immigration and sponsorship are separate legal processes.

Will I automatically receive a UK business bank account?

No. Banks and payment providers make independent decisions using their own eligibility, identity, ownership, activity and risk requirements. Banking-readiness support can help organise an application, but it cannot guarantee approval.

What should an itemised formation quote show?

It should separate the Companies House filing charge, professional formation-support fee, any address or mail service, identity-verification work, specialist documents and optional tax, banking or ongoing compliance services. It should also identify recurring fees and third-party decisions.

What must the company do after incorporation?

Directors must keep the required records, manage applicable tax obligations, file annual accounts and a confirmation statement, report relevant changes and follow the company’s articles. Other duties may apply depending on the activity, staff and registrations.
