FZCO means Free Zone Company. It identifies a company incorporated under the rules of a UAE free-zone authority that uses FZCO as a legal-form name or company suffix.
What does FZCO mean in Dubai?
FZCO is short for Free Zone Company. You will see the suffix used by certain UAE free-zone authorities to identify companies established within their regulatory framework.
What FZCO does not tell you on its own is exactly how many shareholders the company must have. That depends on the authority.
Jebel Ali Free Zone Authority, or JAFZA, uses FZCO for a company with multiple shareholders. DMCC, by contrast, currently states that an FZCO must have a minimum of one shareholder. This is why a generic definition such as “FZCO always means two or more owners” is too broad for Dubai.
FZCO is a company form, not a business activity. The legal form identifies how the entity is constituted. The business licence separately identifies the activities the company is authorised to conduct.
What is an FZCO company?
An FZCO company is a business entity incorporated under a UAE free-zone authority that uses the Free Zone Company designation.
Its legal personality, liability, ownership rules, governance requirements, permitted shareholders and formation documents are determined by the regulations of that particular free zone.
- Free zone
- The jurisdiction and authority under which the company is registered.
- Legal form
- FZCO, FZE, FZ-LLC, branch or another structure offered by the selected authority.
- Licence
- The activities the company is authorised to conduct.
- Shareholders
- The individuals or legal entities that own the company, subject to the authority's shareholder rules.
- Governance
- The articles, management appointments, signing authority and other rules that govern how decisions are made.
The suffix should therefore be read together with the free-zone name. An FZCO registered in JAFZA should not automatically be assumed to follow exactly the same ownership rules as an FZCO registered in DMCC.
Who can own an FZCO?
Depending on the free-zone authority, an FZCO may have individual shareholders, corporate shareholders or a combination of both.
Individual shareholders
Individual owners normally provide identity and due-diligence information as part of the incorporation file. The exact documentation varies by authority and applicant status.
Corporate shareholders
A company can also hold shares in an FZCO where the selected authority permits corporate ownership. Corporate-shareholder applications commonly involve a larger document trail because the authority must establish the parent company's legal existence, authorised representatives and ultimate ownership.
Mixed ownership
Some authorities permit a combination of individual and corporate shareholders. JAFZA expressly allows its FZCO shareholders to be individuals, non-individual companies or a combination of both.
Ownership planning comes before the licence package. Confirm who should legally own the company, what each shareholder's percentage will be and whether further shareholders are likely to join before choosing a formation route.
What can an FZCO do in Dubai?
The activities an FZCO can carry out are determined by its licence and the rules of the selected free zone—not simply by the FZCO suffix.
Depending on the authority and the activities available there, a free-zone company may be established for models such as:
- consulting and professional services;
- technology and software activities;
- e-commerce;
- trading and distribution;
- industrial or logistics activities where permitted;
- regional or international business operations; or
- holding or investment-related activities where the relevant authority and regulatory framework permit them.
The business model should therefore be mapped first: what the company sells, where its customers are, where work is performed, what facilities it needs and whether another regulator must approve the activity.
For a broader jurisdiction comparison, see Dubai free-zone company formation.
FZCO vs FZE: what is the difference?
FZCO means Free Zone Company, while FZE means Free Zone Establishment. The shareholder distinction between them depends on the free zone.
In JAFZA, the difference is straightforward: FZE is its single-shareholder company form, while FZCO is its 2–50 shareholder form. But that comparison cannot be applied blindly to DMCC, because DMCC currently allows an FZCO with at least one shareholder.
| Factor | FZCO | FZE |
|---|---|---|
| Full form | Free Zone Company. | Free Zone Establishment. |
| Shareholder rule | Authority-specific. JAFZA currently uses 2–50 shareholders; DMCC permits a minimum of one. | Commonly the single-shareholder form where the authority offers FZE as a distinct structure. JAFZA is a clear example. |
| Owner type | May include individual and/or corporate shareholders subject to authority rules. | May be owned by one individual or one corporate shareholder where permitted. |
| Licence | Separate from the legal form and based on approved activities. | The same principle applies. |
| Tax | The suffix does not determine whether income qualifies for a 0% Corporate Tax rate. | The same principle applies. |
| Best comparison method | Check the selected authority's current rules. | Check whether that authority actually uses FZE and how it defines it. |
For the detailed explanation of the other structure, read the FZE meaning guide.
Is FZCO the same as FZ-LLC?
Not necessarily. FZ-LLC is another legal-form label used by some UAE free zones for a free-zone limited-liability company.
The practical characteristics may be similar in some jurisdictions, but the names should not be treated as universally interchangeable. Each authority defines its own entity forms, shareholder rules, governance requirements and formation documents.
If one free zone offers FZCO and another offers FZ-LLC, compare the underlying rules rather than assuming the different suffixes produce exactly the same structure.
When may an FZCO be the right structure?
FZCO can be worth considering when the selected free zone uses that legal form and it matches the intended ownership, activity and operational model.
Do not choose FZCO only because you expect more shareholders
Multiple shareholders can make FZCO the correct answer in a free zone such as JAFZA, but that should not become a universal decision rule. DMCC illustrates why: one shareholder can still use the FZCO suffix there.
Start with the authority and its regulations, then choose the legal form that authority provides for your circumstances.
FZCO requirements in Dubai
There is no single FZCO document checklist covering every Dubai free zone. Requirements vary according to the authority, activity, applicant profile and whether shareholders are individuals or companies.
Ownership and governance information
- shareholder names and ownership percentages;
- individual or corporate status of each shareholder;
- ultimate beneficial ownership information;
- manager, director or authorised-signatory information where required; and
- the proposed decision-making and signing structure.
Individual shareholder documents
Depending on the authority and application, personal documentation can include passport and identity information, contact or address details, UAE immigration information where relevant, and KYC or UBO forms.
Corporate shareholder documents
Corporate shareholders can require incorporation evidence, constitutional documents, shareholder/director information, an ownership chart, board authority and ultimate-beneficial-owner documentation.
Documents issued outside the UAE may also need notarisation, legalisation, attestation or another certification route where required by the selected authority.
Business-level information
- proposed trade name;
- business activity or activities;
- licence category;
- business description or project information where required;
- facility or office choice;
- visa requirements; and
- external approvals for regulated activities where applicable.
How to set up an FZCO in Dubai
The exact portal and sequence vary by free zone, but a well-structured application usually follows the same decision path.
Define the activity
Establish what the company will actually sell or provide and whether the activity needs any external approval.
Choose the appropriate free zone
Compare the authority's permitted activities, facilities, operating framework, visa arrangements and legal forms.
Confirm FZCO is the correct legal form
Check the authority's FZCO shareholder rules rather than relying on a generic UAE definition.
Design the ownership structure
Confirm each shareholder, percentage, ownership chain and signing authority before submitting the application.
Prepare the document file
Complete the personal, corporate, KYC, UBO and business documentation required by the selected authority.
Submit the application
Complete the authority's trade-name, incorporation, licensing and document-review process and respond to any additional requirements.
Complete licence issuance
Execute required formation documents, settle approved authority fees and complete the steps needed for licence issuance.
Handle post-formation requirements
Address immigration, visas where needed, accounting, Corporate Tax, VAT where applicable, banking preparation and other operating requirements separately.
What affects FZCO cost and setup time?
FZCO does not have one standard Dubai price or one universal processing time. The total depends on the free zone and the structure being established.
- Free zone
- Each authority has its own incorporation, licensing, facility and administrative charges.
- Activities
- The licence category, number of activities and any external approvals can affect the application.
- Workspace
- Flexi-desk, serviced-office, office, warehouse or other facility requirements can materially change the total.
- Visas
- Immigration and visa requirements depend on the selected route, facility and applicants.
- Shareholders
- Corporate shareholders and complex ownership chains can require additional documentation and due diligence.
- Post-setup work
- Tax, accounting, banking preparation, amendments and continuing compliance sit beyond the company licence itself.
Compare an itemised first-year and renewal estimate rather than judging the structure only by a headline licence price.
Tax, banking, visas and mainland operations
Incorporating an FZCO creates the legal entity and licence route, but it does not automatically determine every operational outcome that follows.
Corporate Tax
Free-zone companies fall within the UAE Corporate Tax framework. The Federal Tax Authority explains that a Qualifying Free Zone Person can benefit from a 0% rate on Qualifying Income when the applicable conditions are satisfied.
The FZCO suffix itself does not create a 0% Corporate Tax result. Tax registration, qualifying status, income type, substance and other compliance requirements must be considered separately.
VAT
VAT obligations depend on the company's activities, supplies and applicable registration rules. FZCO status on its own does not decide whether VAT registration is required.
Corporate bank account
Banks apply their own onboarding and compliance procedures. They may review the shareholders, business activity, source of funds, counterparties, expected transactions and commercial purpose of the company.
Incorporating an FZCO therefore does not guarantee that a particular bank will approve an account.
Visas
Visa eligibility and capacity can depend on the selected authority, facility, package and applicant circumstances. Confirm the immigration requirements before choosing the formation package.
Operating outside the free zone in Dubai
A free-zone company should not assume that its licence automatically permits unrestricted activity throughout mainland Dubai.
Dubai Executive Council Resolution No. 11 of 2025 provides routes under which eligible free-zone establishments may conduct activities outside the free zone through applicable branch licences or permits, subject to the resolution's conditions, authority approvals and the relevant activity.
Common FZCO mistakes to avoid
Assuming every FZCO requires two or more shareholders. Check the selected authority's current rules first.
Choosing a free zone on price before confirming that it supports the real business activity and operating model.
Agreeing ownership percentages informally without documenting governance, signing authority and shareholder arrangements properly.
Treating the licence as a guarantee of bank-account approval, tax treatment or unrestricted mainland activity.
Failing to prepare a clear ownership chain and UBO file when one or more shareholders are companies.
Practical FZCO examples
These simplified examples show why the free-zone authority must be considered together with shareholder count.
Two founders considering JAFZA
Two founders want documented ownership from incorporation. JAFZA's published framework places multiple shareholders in its FZCO structure, subject to the remaining activity, document and facility requirements.
One founder considering DMCC
A single shareholder should not assume that FZE is required. DMCC currently uses FZCO and states that the company must have a minimum of one shareholder.
Corporate shareholder
An overseas company wants to own shares in the UAE entity. The application should be designed around the selected free zone's corporate-shareholder rules and the required ownership, board-authority and UBO documentation.

Legal-form names and shareholder rules are set by the relevant authority and can change. Check the current regulations for the specific free zone before relying on a generic FZCO definition.
FZCO FAQs
What does FZCO stand for?
FZCO stands for Free Zone Company. It is a legal-form name or company suffix used by certain UAE free-zone authorities.
What is an FZCO company in Dubai?
An FZCO is a company incorporated under a Dubai or UAE free-zone authority that uses FZCO as one of its legal forms or company suffixes. Its shareholder and governance rules depend on that authority.
Does an FZCO always need two shareholders?
No. JAFZA currently uses FZCO for two to fifty shareholders, but DMCC states that an FZCO must have a minimum of one shareholder. The correct rule depends on the selected free zone.
What is the difference between FZCO and FZE?
FZCO means Free Zone Company and FZE means Free Zone Establishment. In JAFZA, FZE is the single-shareholder structure and FZCO is the multiple-shareholder structure. This is not a universal UAE rule because other free zones use the labels differently.
Can a company be a shareholder in an FZCO?
Yes, where the selected free-zone authority permits corporate shareholders. JAFZA and DMCC both publish routes that allow corporate ownership, subject to their respective requirements and due-diligence processes.
Is FZCO the same as FZ-LLC?
Not automatically. FZ-LLC is another free-zone company label used by certain authorities. The underlying liability, ownership and governance rules must be checked with the authority rather than assuming the terms are universally interchangeable.
What documents are required for an FZCO?
Requirements vary. They can include identity documents, shareholder and UBO information, business activity details, authority application forms and, for corporate shareholders, incorporation, constitutional and ownership-chain documents.
How much does an FZCO cost in Dubai?
There is no single FZCO price. Costs vary according to the free zone, activities, facilities, visas, shareholder structure, external approvals and continuing requirements.
Does an FZCO automatically pay 0% Corporate Tax?
No. The Federal Tax Authority's Free Zone Corporate Tax framework allows a Qualifying Free Zone Person to benefit from 0% on Qualifying Income where the relevant conditions are met. The FZCO suffix itself does not determine the tax rate.
Can an FZCO operate in mainland Dubai?
Not automatically in every case. Dubai Executive Council Resolution No. 11 of 2025 provides routes for eligible free-zone establishments to conduct activities outside the free zone using applicable licences or permits, subject to the stated conditions and approvals.
Does forming an FZCO guarantee a corporate bank account?
No. Banks make their own onboarding and risk decisions based on the company, shareholders, activities, source of funds, expected transactions and other compliance factors.
FZCO meaning in practical terms
FZCO means Free Zone Company. It is a free-zone company designation whose exact shareholder and governance rules are determined by the authority that registers the business.
JAFZA demonstrates the traditional multi-shareholder model: its FZCO currently allows two to fifty shareholders. DMCC demonstrates why that definition should not be applied UAE-wide: its current FZCO rules require a minimum of one shareholder.
The right sequence is therefore to choose the appropriate free zone for the business activity and operating model, then confirm which legal form that authority uses for the intended ownership.
